2. USER RESPONSIBILITY FOR ESTIMATES AND OUTPUTS

The Service may use automation, artificial intelligence, mathematical calculations, stored business rules, third-party information, user-provided information, and other technologies to generate recommendations, calculations, scopes, budgets, estimates, and other outputs. These outputs may contain errors, omissions, incorrect assumptions, incorrect quantities, incorrect pricing, outdated information, or other inaccuracies. You are solely responsible for reviewing and verifying all outputs before relying upon, submitting, approving, purchasing from, contracting from, or otherwise using them. You are responsible for verifying, as applicable:

  • Measurements and quantities;
  • Scope of work;
  • Labor and material requirements;
  • Building conditions;
  • Applicable building codes;
  • Permit requirements;
  • Pricing and market conditions;
  • Insurance policy requirements;
  • Estimating software requirements;
  • Subcontractor pricing;
  • Material availability;
  • Taxes, overhead, profit, and other markups;
  • Safety requirements; and
  • Any other information material to a project. No estimate, budget, scope, report, or recommendation generated through the Service should be considered final until reviewed and approved by an appropriately qualified person.

3. NO GUARANTEE OF INSURANCE PAYMENT OR PROJECT OUTCOME

The Service does not guarantee that an insurance carrier, adjuster, property owner, contractor, consultant, mortgage company, government agency, or other third party will accept or pay any estimate, scope, price, line item, calculation, documentation, or recommendation generated using the Service. We do not guarantee:

  • Insurance coverage;
  • Claim approval;
  • Payment of any estimate;
  • Approval of supplements;
  • Acceptance of pricing;
  • Profitability of any project;
  • Accuracy of third-party pricing information;
  • Compliance with any specific insurance carrier's estimating requirements; or
  • Any specific financial, contractual, or project outcome. Users remain responsible for negotiations, contracts, claims, submissions, project execution, and regulatory compliance.

4. ACCOUNT REGISTRATION

You may be required to create an account to use certain portions of the Service. You agree to provide accurate and current account information and to maintain the confidentiality of your account credentials. You are responsible for all activity occurring under your account unless caused by our failure to maintain reasonable security. You must notify us promptly if you believe your account has been accessed without authorization.

5. BUSINESS AND MULTI-USER ACCOUNTS

Organizations may authorize employees, contractors, estimators, project managers, administrators, or other users to access an organizational account. The organization is responsible for:

  • Determining who may access its account;
  • Assigning appropriate permissions;
  • Reviewing user activity;
  • Removing access when a user's authorization ends; and
  • Ensuring authorized users comply with these Terms. Certain actions within the Service may require approval by an administrator, manager, or other authorized user. The Service may maintain records of approvals, edits, overrides, corrections, and other account activity.

You represent that you have the legal right to provide User Content to the Service and to authorize its processing. You should not upload information that you are prohibited from disclosing or processing.

7. CONFIDENTIAL BUSINESS INFORMATION

The Service may contain confidential or proprietary information belonging to a user's business, including pricing, estimating methodologies, company rules, customer information, and internal procedures. We will not claim ownership of your proprietary business information merely because you enter it into the Service. Our handling of personal information is further described in our Privacy Policy.

8. ARTIFICIAL INTELLIGENCE AND AUTOMATED PROCESSING

Certain features of the Service may use artificial intelligence or automated systems. You acknowledge that automated systems are probabilistic and may occasionally generate incorrect, incomplete, inconsistent, or unexpected results. Any pricing available through the Service may be based on user-entered pricing, company pricing databases, historical pricing, third-party sources, subcontractor quotes, estimated market pricing, stored allowances, or other information. Prices may vary significantly by location, project conditions, timing, labor availability, supplier pricing, and other circumstances. You are responsible for confirming current pricing before entering into contractual commitments.

10. THIRD-PARTY SERVICES

The Service may integrate with or provide information intended for use with third-party software or services. Third-party services may include estimating software, insurance platforms, property documentation systems, payment processors, mapping providers, cloud-storage services, or other platforms. Your use of third-party services is governed by the applicable third party's terms and policies. Unless expressly stated otherwise, reference to or compatibility with a third-party product does not imply sponsorship, endorsement, partnership, certification, or affiliation. Third-party integrations may change, become unavailable, or be discontinued.

11. XACTIMATE, VERISK, AND OTHER THIRD-PARTY ESTIMATING SYSTEMS

If the Service provides exports, mappings, references, or other functionality related to Xactimate, Verisk, or another estimating platform, such functionality is provided only to the extent lawfully permitted. Unless expressly stated otherwise, Smoke Signal Intelligence LLC is not affiliated with, endorsed by, or sponsored by Verisk, Xactimate, or any other third-party estimating software provider. Any third-party names, trademarks, or product names belong to their respective owners. Users are responsible for maintaining any licenses required to use third-party software.

12. ACCEPTABLE USE

You may not use the Service to:

  • Violate applicable law;
  • Commit or facilitate fraud;
  • Submit intentionally false insurance claims;
  • Misrepresent project conditions or damages;
  • Access another user's account without authorization;
  • Attempt to bypass security protections;
  • Reverse engineer the Service except where prohibited by law from restricting such activity;

Certain features of the Service may require payment. Pricing, subscription periods, included features, usage limits, and other commercial terms will be disclosed at the time of purchase. Unless otherwise stated:

  • Subscription fees are charged in advance;
  • Subscriptions automatically renew until canceled;
  • Cancellation stops future renewals but does not retroactively refund prior charges; and
  • Fees are non-refundable except where required by law or expressly stated otherwise. We may change subscription pricing upon reasonable advance notice.

15. FEEDBACK

If you provide suggestions, feedback, recommendations, ideas, or other input regarding the Service, you grant us the right to use that feedback without restriction or compensation. This does not give us ownership of your User Content or confidential project information.

16. INTELLECTUAL PROPERTY

The Service, including its software, interfaces, workflows, databases, documentation, trademarks, designs, and proprietary functionality, is owned by or licensed to Smoke Signal Intelligence LLC and is protected by intellectual property laws. Except for the limited right to use the Service under these Terms, no rights are transferred to you. You may use reports, estimates, scopes, spreadsheets, and other outputs generated from your own User Content for your normal business purposes.

17. SERVICE AVAILABILITY

We aim to provide a reliable Service but do not guarantee uninterrupted or error-free availability. The Service may occasionally be unavailable due to maintenance, software updates, hosting interruptions, third-party outages, security incidents, internet disruptions, or events outside our reasonable control. We may modify, add, remove, or discontinue features from time to time.

18. DATA BACKUP

Although we may maintain backups as part of operating the Service, you should maintain copies of important project records and final estimates. The Service should not be your sole repository for information required for legal, contractual, insurance, accounting, regulatory, or record-retention purposes.

19. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND AVAILABILITY. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE; OUTPUTS WILL BE ACCURATE OR COMPLETE; ESTIMATES WILL BE ACCEPTED BY INSURANCE CARRIERS OR CUSTOMERS; PROJECTS WILL BE PROFITABLE; THE SERVICE WILL MEET EVERY USER'S REQUIREMENTS; OR THIRD-PARTY DATA OR SERVICES WILL REMAIN AVAILABLE.

20. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMOKE SIGNAL INTELLIGENCE LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, LOST BUSINESS, PROJECT DELAYS, CLAIM DENIALS, OR COSTS ARISING FROM RELIANCE ON AN INCORRECT ESTIMATE OR OUTPUT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (1) THE AMOUNT YOU PAID TO US FOR THE SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (2) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not permit certain limitations of liability, so portions of this section may not apply to you.

21. INDEMNIFICATION

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Smoke Signal Intelligence LLC and its members, managers, employees, contractors, and affiliates from claims, damages, liabilities, losses, and expenses, including reasonable attorneys' fees, arising from your misuse of the Service; your violation of these Terms; your violation of applicable law; your User Content; your construction, restoration, estimating, insurance, or contracting activities; or your submission or use of an estimate, scope, budget, or other output generated through the Service.

22. TERMINATION

You may stop using the Service at any time. We may suspend or terminate access if you materially violate these Terms; payment is overdue; your use creates a security risk; your use could expose us or another party to legal liability; or we are required to do so by law. Where practical, we may provide notice and an opportunity to resolve the issue before termination. Sections that by their nature should survive termination will remain in effect, including intellectual property, warranty disclaimers, limitation of liability, indemnification, and dispute provisions.

23. GOVERNING LAW

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-laws principles. Subject to any applicable arbitration provision or other written agreement, disputes arising from these Terms or the Service will be brought in a court of competent jurisdiction located in Pennsylvania.

24. CHANGES TO THESE TERMS

We may update these Terms from time to time. If we make a material change, we may provide notice through the Service, by email, or through another reasonable method. The updated Terms will identify the date they became effective. Continued use of the Service after updated Terms become effective constitutes acceptance of the revised Terms.

25. ENTIRE AGREEMENT

These Terms, together with any applicable Privacy Policy, subscription terms, enterprise agreement, data-processing agreement, or other written agreement between you and Smoke Signal Intelligence LLC, constitute the agreement governing your use of the Service. If an enterprise or separately negotiated written agreement conflicts with these Terms, the separately negotiated agreement controls to the extent of the conflict.

26. SEVERABILITY

If any provision of these Terms is determined to be unenforceable, the remaining provisions will remain in effect.

27. NO WAIVER

Failure to enforce a provision of these Terms does not waive our right to enforce it later.
